Terms of Service

1. Who we are

VantaPay LLC ("VantaPay", "we") is a Florida limited liability company operating a software platform that lets service businesses ("Merchants") manage bookings, accept payments, and message their clients. By creating an account or using the platform you agree to these Terms. If you are agreeing on behalf of a business, you confirm you are authorized to bind it.

2. Payments & Stripe Connect

Payments are processed by Stripe. Merchants who accept payments must create a connected Stripe account and agree to the Stripe Connected Account Agreement, which includes the Stripe Services Agreement.

Processing rates are all-in — the rate quoted is the Merchant's total cost per transaction, with Stripe's own fee already included:

• In person, card reader — 3.49% + 10¢
• Tap to Pay on a phone — 3.59% + 15¢
• Online (invoice, pay link, booking) — 3.69% + 30¢
• Manually keyed card — 4.19% + 30¢
• Buy now, pay later (Klarna, Afterpay, Affirm) — 6.99% + 30¢
• Affirm extended financing — 8.99% · Zip — 5.99%

Funds settle directly to the Merchant's Stripe account on Stripe's payout schedule; VantaPay does not hold Merchant funds. Refunds are issued by the Merchant and returned to the customer's original payment method; processing fees on a refunded transaction are not returned. Chargebacks and disputes, including any dispute fee Stripe charges, are the Merchant's responsibility, and the Merchant is responsible for the goods and services they sell.

3. Merchant subscription

New Merchants get a 14-day free trial with no card required. After the trial, continued use of paid features requires an active subscription. Current plans and prices are listed at vantapayllc.com/pricing.

Subscriptions bill monthly in advance and renew automatically until cancelled. You can cancel at any time from your dashboard; cancellation takes effect at the end of the period you have already paid for, and that period is not prorated or refunded. We will give at least 30 days' notice before a price increase applies to an existing subscription. Add-ons purchased as one-time packs, such as SMS credits, are non-refundable once used. If a payment fails we may suspend paid features until it is resolved; your data remains available for at least 30 days after suspension.

4. SMS / text messaging

By providing a mobile number and opting in, you agree to receive text messages from VantaPay and/or the business you interact with, including one-time verification codes, appointment confirmations and reminders. Message frequency varies based on your account and appointment activity. Message and data rates may apply. Reply STOP to opt out at any time, or HELP for help. Mobile numbers, SMS opt-in data, and consent are never shared or sold to third parties or affiliates for their own marketing. Merchants are responsible for obtaining consent from their clients and for complying with the Telephone Consumer Protection Act, the Florida Telephone Solicitation Act, and carrier requirements. A Merchant who sends messages without valid consent is responsible for the consequences, and we may suspend messaging for that account.

5. Acceptable use

You may not use VantaPay to:

• sell anything illegal where you operate, or anything on Stripe's restricted businesses list — including firearms and ammunition, controlled substances, adult services, gambling, and multi-level marketing;
• take payment for goods or services you do not intend to provide, or process payments on behalf of someone else;
• send messages to people who have not consented, or continue messaging someone who replied STOP;
• upload content you do not have the right to use, or content that is harassing, hateful, or sexually explicit;
• share a login between people, attempt to access another Merchant's data, probe or interfere with the platform's security, or scrape it.

Services restricted by age or license — anything requiring a professional licence, or sold only to adults — may be booked through VantaPay, but verifying eligibility and holding the required licence is the Merchant's responsibility. Accounts must be held by someone 18 or older. We may suspend or close an account that breaks these rules, and we will tell you why unless the law prevents it.

6. Disclaimers & liability

The platform is provided "as is". We do not promise it will be uninterrupted or error-free, and we disclaim the implied warranties of merchantability, fitness for a particular purpose, and non-infringement to the fullest extent the law allows. VantaPay is a tool Merchants use to run their own businesses: we are not a party to the transaction between a Merchant and their client, and we do not provide legal, tax, or accounting advice.

To the fullest extent permitted by law, neither party is liable for indirect, incidental, special, or consequential damages, or for lost profits or lost data. Our total liability arising out of these Terms is limited to the amount you paid VantaPay in subscription fees during the twelve months before the claim. Nothing here limits liability for fraud, willful misconduct, or anything that cannot be limited by law.

You agree to indemnify VantaPay against claims arising from your use of the platform, the goods or services you sell, the messages you send, and your breach of these Terms.

7. Changes, termination & governing law

We may update these Terms; we will post the new version here and update the date above, and material changes take effect 30 days after posting. You may close your account at any time, and you can export your data before you do. After closure we keep what the law requires and delete or de-identify the rest — see our Privacy Policy and Delete your data.

These Terms are governed by the laws of the State of Florida, without regard to its conflict-of-laws rules. Disputes will be brought in the state or federal courts located in Pinellas County, Florida, and both parties consent to that venue.
